Liability

Liability is limited solely to the services provided by the simplified joint-stock company WIPT SAS or a representative member of the Eydolon network. It does not apply to damages, injuries or loss of income of which the origin is from a non-compliant use by the user or by a third party. The use of the equipment provided by WIPT SAS or a representative member of the Eydolon network must comply with the manufacturer’s technical recommendations. These general conditions govern the sale of virtual reality experiences and accessories. Any order for services between WIPT SAS or a representative member of the Eydolon network and their customers is governed without any restriction or reservation by these general conditions which have been accepted by the customer and shall prevail over those which figure in their own documents or general sales conditions. All the prices for the provision of services are inclusive of taxes. Any applied taxes are those in force on the day of the invoicing. Any service request (private rental, booking, sale) may be subject to a quote including special conditions.

Services: the sale of virtual reality experiences

WIPT SAS offers both its General Public and Corporate customers leisure activities based on the use of virtual reality equipment.

1.1 Any information communicated about our prices, website or any other document has no contractual value and does not bind WIPT SAS in any way, which reserves itself the right to make any changes to the indications provided in these documents.

1.2 The photos and videos presenting virtual reality experiences are communicated for information purposes only and have no contractual value.

1.3 Any additional request by customers shall lead to the drafting of a new quote which shall cancel and replace the previous quote.

1.4 Any commercial offers proposed by WIPT SAS or a representative member of the Eydolon network are proposed for the virtual reality areas of the “Eydolon” brand. Any other use or exploitation cannot be agreed without WIPT SAS’ prior agreement.

1.5 Virtual Reality Experiences shall be purchased via credits entitled “Eydolon Credits”. The value of an Eydolon Credit is set at XXX, inclusive of tax (XXX, inclusive of tax). These credits are to be consumed via a user card, which shall be handed over or delivered exclusively by a representative member of the Eydolon network.

1.6 The user card shall no longer be valid after one year of non-use. It will be reactivated following a request by the user.

1.7 The commercial offers proposed by WIPT SAS are listed on the www.eydolon.fr website and are likely to evolve regularly. Any amendment, addition, deletion or any other action carried out on these commercial offers can only be made or carried out by WIPT SAS.

1.8 Any commercial packages offering credits shall be subject to WIPT SAS’ discretion or that of a representative member of the Eydolon network and shall be limited in time in accordance with WIPT SAS’ guide lines.

1.9 The guarantee shall be limited to that in force on the Virtual Reality Experiences equipment and catalogue operated by WIPT SAS, as well as any actions exclusively carried out by WIPT SAS staff.

1.10 In the specific case of the drafting of a quote, its validation, including the signed reference “Read, approved and agreed”, shall bind the customer to pay a 50% (fifty percent) down payment of the total amount, inclusive of taxes, of the purchased credits.

1.11 The balance due must be paid during the provided service, unless otherwise specifically foreseen by WIPT SAS or by a representative member of the Eydolon network.

1.12 WIPT SAS and the representative members of the Eydolon network are only bound to an obligation of means. Consequently, they undertake to provide, with regard to, and within the scope of its current technical means, and at the price paid by the customer and the general circumstances of the mission, reasonable means for delivering the service.

2. Payment conditions

2.1 Payments shall be made without any discount and shall be payable upon purchase of the service, unless otherwise specified in our offers, or in the quote or order or invoice confirmations.

2.2 Any payment not sent on the agreed date to our invoicing address shall be subject to late payment interest at the monthly rates in force without requiring any prior formal notification.

2.3 Payments shall be made by bank transfer, credit card and cash. Any other payment method shall require the prior agreement of WIPT SAS or a representative member of the Eydolon network.

3. Confidentiality

WIPT SAS and the representative members of the Eydolon network shall carry out every reasonable effort to ensure the strict confidentiality of any information it is given within the scope of the services carried for the customer.  

4. Force majeure

WIPT SAS and the representative members of the Eydolon network shall not be liable for any delays, errors or damages or for any failure in the fulfilment of its obligations in the event of force majeure, which includes, for example, acts of war, strikes, equipment breakdowns, etc.…

 

5. Miscellaneous items

5.1 Any amendment to these general sales conditions shall only be valid if it has been the subject of a written agreement between WIPT SAS and the customer.

5.2 Any nullity of part of the provisions of these general sales conditions cannot infringe the validity of the other conditions.

5.3 Any non-application by WIPT SAS or a licensed member of the Eydolon network or by the customer of the rights specified in these general sales conditions shall not constitute a waiver of these rights.

6. Applicable law/Competent jurisdiction

6.1 Any dispute regarding an order received by WIPT or a representative member of the Eydolon network shall be judged by the Commercial Court which falls within the jurisdiction of the registered office of WIPT SAS or the concerned representative member of the Eydolon network, and shall also apply in the event of there being several defenders or third party appeals.

6.2 No acceptance of payment by check, bill or any effect domiciled in any other location shall neither novate not override this clause attributing jurisdiction. The applicable law shall be French law.
